Resumo
A Constituição Brasileira de 1988 cuidou da regulação jurídica da empresa sob seus dois aspectos fundamentais, que são a sua estrutura econômica e o ambiente no qual ela existe e funciona. No primeiro aspecto, há as normas que disciplinam os fatores de produção que, uma vez organizados, constituem o modo empresarial de atuação. Destacam-se e são analisadas aqui, portanto, as normas constitucionais orientadas à regulação do capital, do trabalho, da matéria-prima e da tecnologia. Já sob o segundo aspecto, há as normas constitucionais que organizam o mercado, ambiente no qual a empresa lança os produtos e serviços por ela gerados. Neste ponto são abordadas as normas constitucionais que estabelecem as bases do livre funcionamento do mercado, como a concorrência e a livre iniciativa. Por outro lado, há que se complementar a análise da empresa e sua regulação na Constituição Federal de 1988 com ponderações sobre a estrutura do risco no exercício da atividade empresarial e as formas jurídicas de limitação deste risco, corporificadas nas modalidades de sociedades empresárias de maior utilização.
Abstract
The Brazilian Constitution of 1988 addressed the legal regulation of the firm from two fundamental aspects: its economic structure, and the environment in which it operates. In the first aspect, there are the rules governing the factors of production that, once organized, constitute the business mode of operation. Therefore, the constitutional rules aimed at regulating the capital, labor, raw material and technology of the firm are highlighted and analyzed here. Under the second aspect, there are constitutional rules that organize the market environment in which the firm launches its products and services. In this aspects, this work addresses the constitutional norms that establishes the basis of free functioning of the market, such as competition and free enterprise. Meanwhile, this analysis of the firm and its regulation in the Constitution of 1988 needs to be complemented with reflections on the structure of risk in the exercise of business activity, and the legal forms of liability for this risk, embodied in the forms of business partnership most widely used.
