| Abstract: | Este texto tem por objetivo analisar a competência legislativa em matéria de Direito Societário. Buscou-se traçar um paralelo entre o sistema jurídico brasileiro e o norte-americano, pontuando também, de maneira breve, a atuação societária transnacional na União Europeia. Historicamente, o Brasil sempre adotou o modelo de competência privativa da União para legislar sobre Direito Societário. Assim, é importante refletir sobre as experiências em sentido diverso, há séculos acolhidas com elevado grau de sucesso por outros países. Isso poderá lançar luzes sobre o modelo brasileiro, permitindo cogitar de uma inédita mudança de paradigma ou, ao menos, fornecer argumentos científicos para a manutenção e aprimoramento desse modelo. |
| Abstract: | The purpose of this article is to analyze the legislative competence in Corporate Law, and aims at drawing a parallel between the Brazilian and US legal system. Furthermore, expanding the considerations to also discuss, albeit briefly, transnational corporate activity in the European Union. In effect, Brazil, historically has always adopted the Federal Government’s exclusive competence model to legislate on Corporate Law. Thus, it is important to reflect on how other countries have acquired different centennial experiences with high degree of success. This could shed light on the Brazilian national model, allowing reflection for an unprecedented paradigm shift, or at least provide scientific arguments for the improvement of this model. |
